Terms and conditions for Specialists to receive membership to myHealthSpecialist.com
These terms and conditions apply in respect of listings for specialists – (Site Listings) on myHealthSpecialist.com (the or this Site). Please also read our Terms and Conditions for the use of the Medical Directory, the General Terms of Website Use and our Privacy Policy. Together with these terms and conditions such documents form a binding contract between you and us (Contract).
Requirements for an entry in the Site Listings and your agreement to the Contract with us
Only doctors with an active GMC speciality registration (Specialists) are permitted to appear in the Site Listings at any time. You should not accept an invitation to appear in (or register for an entry in) the Site Listings if you are not a Specialist. We are entitled, in our sole discretion, to refuse to accept any application from any person or recommendation for a Site Listing.
By completing the registration process (the Site Registration Process) you agree to be bound by
• these terms and conditions in the form that they appear on the Site at that date and at any time after that date (these Terms); and
• the other documents forming the Contract in the form that they appear on the Site at that date and at any time after that date.
These Terms may change at any time. You should therefore consult this page regularly to ensure that you are aware of the most up to date Terms.
Who we are
This Site is operated by myHealthSpecialist Limited (we, us or myHealthSpecialist). We are registered in England with number 07964291 and have our registered office at Suite 45, 915 High Road, London, N12 8QJ. We are registered for VAT under number 135203551.
Purpose of this Site
We are a specialist medical directory site for GPs and patients and those Specialists who have registered with us:
• for GPs and Specialists to recommend Specialists to be included in the Site Listings; and
• for GPs, Specialists and patients to search the Site Listings.
This Site also permits GPs to share certain information amongst themselves and Healthcare Organisations to have Clinic Pages and Specialist Listings. The Site is open to patients to view Site Listings. Additional or alternative facilities and functions may be added to this Site in the future and/ or the Site may be open to different categories of users in which case these Terms and your rights of access may be varied. We are not, however, obliged to add any additional features or functionality or to make our Site available to anyone other than our current membership of medical practitioners at any time.
How to obtain an entry in the Site Listings what types of entry are available
In order to obtain an entry in the Site Listings (searchable by patients), you will need to be recommended via this Site by a GP or another Specialist. There are 3 types of entry in the Site Listings as follows:
• NHS only (Basic Listing).
• NHS and private (Full Membership)
• Private only (Full Membership)
Each offers the option of an online profile, as described in more detail below. ‘NHS and private’ or ‘Private only’ memberships require that a subscription fee is paid and allows for more profile features and membership benefits. Registering for a Full Membership also allows you to become a registered member with us and access additional members-only benefits which are provided at The Site’s discretion. The following features are included in a Basic Listing and Full Membership:
What happens if we receive a recommendation to include you in the Site Listings?
After we have received a recommendation for you:
• we will include a Basic Listing for you in the Site Listings;
• we will send you an invitation by email to the address which we have been provided with by the person recommending you or which we have found through publicly available sources, asking you whether you want to retain your Basic Listing, register for Full Membership or whether you would like us to remove your Basic Listing. We will also include details of how to respond to that invitation, including a link to the Site Registration Process;
• if we do not receive a response from you, you will remain on the Site Listings with a Basic Listing for so long as we determine.
How to register for Full Membership
If you want to register for Full Membership you will need to:
• follow the steps in the Site Registration Process in the invitation we send to you; or
• Register online through the specialist portal
and pay us the Subscription Fee set out below if you require an “NHS and private” or “Private only” account. You will have the opportunity to review and correct any errors you make in completing the Site Registration Process before you send it to us. Please check it carefully.
When your contract for us to provide you with Full Membership is effective
Your registration with us for Full Membership and our contract to provide you with an Full Membership will be effective once:
• you have fully completed the Site Registration Process and we have received that Registration from you; and
• if you have an “NHS and private” or “Private only” account your request to be invoiced has been accepted by the system and we receive confirmation that your payment of the Subscription Fee set out below has been successfully processed.
You will know that this has happened when you see a screen at the end of the Site Registration Process stating that you have successfully registered with us.
How long your registration for Full Membership will last
Unless you or we cancel it in accordance with these Terms your registration with us for Membership:
• will start on date on which our contract to provide you with Full Membership comes into effect (Start Date); and
• will renew automatically after that for further one year periods on each anniversary of the Start Date (the Annual Renewal Date) if annual subscription is in place or on a rolling monthly basis if this option has been selected during registration.
• Subscriptions fees only apply to “NHS and private” or “Private only” account at the price stated during registration and there is currently no fee for an “NHS only” account (Basic Listing)
Renewals will be charged at the prevailing price, as published on our site. Prices may be increased or decreased at our discretion. Additional services may also be offered in the future and these will be described, along with their prices, on our site.
How and when your registration with us for Full Membership may be cancelled
In addition to your rights to cancel set out above, your registration with us for Full Membership can be cancelled/ terminated:
• by us:
• if you cease to be a Specialist or to meet the requirements for users of this Site at any time;
• if we have reason to believe that you no longer meet the requirements for users of this Site;
• if we do not receive payment of any Annual Subscription Fee when it is due or any such payment is subsequently charged- back or refunded; or
• if we have reason to believe that you are or have been in breach of any of these Terms or of your contract with us;
• by you at any time by using the “Cancel Account” in the myAccount section of this Site. Where you cancel your registration with us you will not be entitled to a pro-rata refund of any Annual or Monthly Subscription Fee you have previously paid.
What happens when your registration with us for Full Membership is cancelled
Upon cancellation of your registration with us for Full Membership, your Full Membership profile will be removed from the Site and you will no longer have access to or any right to use the Site as a registered specialist.
How and when your Registration for a Basic Listing can be cancelled.
We may cancel your Basic Listing at any time:
• if you cease to be a Specialist or to meet the requirements for users of this Site at any time;
• if we have reason to believe that you no longer meet the requirements for users of this Site;
• by giving you at least 28 days’ notice; or
• if we have reason to believe that you are or have been in breach of any of these Terms or of your contract with us.
You may cancel you Basic Listing at any time by sending us a request, via the contact us page, to be removed.
Once your Basic Listing has been cancelled we will delete it from the Site Listings.
What we are and are not responsible for
It is your responsibility to ensure that you meet the requirements for a Site Listing at all times. However we may make such checks as we consider appropriate to ensure that you are a UK registered medical practitioner with the specialty shown during the registration process. This may include checking your name and other details against the list of registered medical practitioners held by the GMC (which has been made available to us for that purpose) and you consent to us doing so. Please note that we are not obliged to carry out any such checks.
We use reasonable endeavours to check that anybody making a recommendation via this Site is a registered medical practitioner at the date of their registration as a user with us.
The inclusion of you or any other Specialist in the Site Listings is not made on the basis of any approval or vetting by us or any other independent body.
We do not offer or provide medical or legal advice or any other advice of a professional or other nature.
What you agree to do and not to do
It is your responsibility to ensure that you meet the requirements for a Site Listing at all times.
You must let us know if you cease to be a Specialist or to meet other requirements to use this Site by sending us a message via the contact us page.
You agree to ensure that any recommendations you make via this Site are made in good faith.
You agree to check the accuracy of all information that you supply for inclusion on this Site at any time and to keep that content up to date and accurate. If any such information becomes inaccurate or out of date you agree to remove it immediately. We are not obliged to check the accuracy of any information which appears on this Site.
You confirm that you either own or are authorised to license us to use any content or information that you provide us with for all purposes relating to the Site or as may be envisaged by these Terms. This includes any content or information you include in your Basic Listing or Full Membership profile.
You should not use this Site to provide any comments or make any statements which are or could be defamatory, racist, offensive or inappropriate or which may infringe applicable law.
If any of the details you have provided at the time of your Site Listing Registration change, please ensure you use the ‘Edit my Profile’ feature to ensure your profile information is accurate and up to date.
Our right to take down content and information
We reserve the right in our sole discretion to take down any information or content that you provide to our Site. This includes, but is not limited to, any content or information that you include in your Basic Listing or Full Membership profile. We will not have any liability to you in respect of any information or content which we take down from the Site.
Usernames and passwords
Your username is the email address with which you initially registered with on the site. You create your own password.
Your username and password are personal to you. It is your responsibility to keep your username and password confidential. You should not share that username or password with anyone else. You will be responsible for all activity using your username and/or password.
You should exercise particular care when accessing the Site from a public computer or one that can be accessed by anyone else. Please ensure that you always log out and that your password cannot be used or accessed by anyone else from that computer at any time.
If you forget your username or password, please follow the steps on the login page. You agree not to access or to attempt to access this Site using anybody else’s registration details or password or to attempt to find out anyone else’s registration details or password.
When our Site is/is not available
Whilst we use reasonable endeavours to make the Site available, access to the Site may not always be available. We reserve the right to amend the services which we provide from our Site without notice. We will not be responsible or liable if access to our Site is not available at any time.
Exclusions and limitations of liability to Specialists who have a Basic Listing and those who have registered with us to have Full Membership
Any material displayed on this Site is provided without any guarantees, conditions or warranties as to its accuracy.
We exclude all conditions, warranties and other terms which might otherwise implied by statute, law or otherwise from our agreement with you.
Save as set out below we exclude all liability for all:
• loss of income or revenue;
• loss of business;
• loss of profits or contracts;
• loss of anticipated savings;
• loss of data;
• loss of goodwill;
• indirect loss or damage;
• consequential loss or damage.
Additional exclusions and limitations of liability applicable if you are registered with us to have Full Membership on the Site for “NHS and private” or “Private only” accounts
The provisions of this section apply to you only if you are registered with us to have Full Membership associated with a subscription and for only in respect of any period for which you are registered with us to have Full Membership.
Save as provided above our total aggregate liability to you in respect of all claims, losses and/or damages, whether arising from tort (including negligence), breach of contract arising in any Contract Year shall in no event exceed the amount of the Annual or Monthly Subscription Fee received by us from you in respect of the subscription you have chosen in that Contract Year.
For these purposes a Contract Year is a year starting on:
• the Annual Start Date; or
• the Monthly rolling subscription Start Date
Additional exclusions and limitations applicable if you do not have a registration with us for Full Membership on the Site
The provisions of this section apply only to you only if you are not registered with us to have Full Membership and for only in respect of any period for which you are not registered with us to have Full Membership.
Save as set out below we do not accept any responsibility or liability arising out of your use of our agreement with you, this Site or the information available from it or in respect of your Site Listing.
In addition to the exclusions and limitations of liability set out in section headed "Exclusions and Limitations of Liability to Specialists who have a Basic Listing and those who have registered with us to have an Full Membership, we exclude all liability to you for direct loss or damages.
No exclusion for death or personal injury or fraud
Nothing in these Terms affects, limits or excludes our liability for death or personal injury arising from our negligence or our liability for fraud or fraud or misrepresentation or any other liability which cannot be excluded or limited under English law.
Linking/framing to/from this Site
You are entitled to link to this Site but we may at any time at our discretion withdraw our consent to any such linking by you. If we withdraw such consent, you will immediately cease the relevant linking
You are not entitled to frame this Site, unless we give you prior consent in writing. Any such consent may be withdrawn at any time and is subject to any policies or requirements that we may have in place at any time.
Other
If any provision of these Terms is found to be invalid or unenforceable, then the remainder of these Terms shall remain in full force and effect.
You agree that these Terms and any documents referred to in them constitute the entire agreement between you and us regarding myHealthSpecialist and the Site and supersede anything previously agreed between you and us.
If we fail to exercise or enforce any right we have under these Terms, this does not mean that we have waived that right and we may still exercise or enforce that right later on.
Any notice we give you may be given to you at any time at the email address we hold on record for you at any time. Any notice you give us may be given to us via the contact page.
These terms and conditions are for the benefit of you and us only and do not benefit anyone else.
Jurisdiction and applicable law
The English Courts will have exclusive jurisdiction of any claim or dispute arising from or relating to these Terms or related to between you and us relating to myHealthSpecialist. These Terms and your use and access our Site are governed by English law.
